End User Licence Agreement

1. Acceptance

By downloading, installing, accessing, updating, copying or using the Licensed Application, or clicking to accept this EULA, you agree to be bound by it. If you do not agree, do not download, install, access or use the Licensed Application and delete all copies.

2. Licence grant

Subject to your compliance with this EULA, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use the Licensed Application on devices you own or control, solely for lawful personal or internal business purposes and in accordance with this EULA, documentation, applicable app-store rules and any subscription terms. The Licensed Application is licensed, not sold. All rights not expressly granted are reserved by Progressive Robot and its licensors.

3. App store and platform terms

If you obtain the Licensed Application through Apple App Store, Google Play or another platform, that platform’s terms also apply. Platform providers are not responsible for the Licensed Application, support, maintenance, warranty, claims, product liability, legal compliance or intellectual property claims except as required by their own terms or law.

4. Restrictions

You must not, except to the extent mandatory law allows:

• copy, reproduce, distribute, publish, sell, rent, lease, lend, sublicense, transfer or make the Licensed Application available to others;
• modify, adapt, translate, merge, create derivative works from or remove components of the Licensed Application;
• reverse engineer, decompile, disassemble or attempt to discover source code, APIs, models, algorithms, architecture or underlying ideas;
• remove copyright, trade mark, licence, security or proprietary notices;
• bypass, disable or interfere with authentication, usage limits, encryption, security features or technical controls;
• use the Licensed Application for unlawful, harmful, infringing, abusive, fraudulent or deceptive purposes;
• use the Licensed Application to transmit malware, attack systems, harvest data, send spam or violate privacy;
• use the Licensed Application in safety-critical, medical, emergency, aviation, nuclear, military, high-risk or regulated environments unless expressly agreed in writing;
• use the Licensed Application for benchmarking, competitive analysis, AI model training, scraping or bulk extraction without written permission;
• permit another person to do any of the above.

5. Accounts, subscriptions and access

Some features may require an account, subscription, internet access, device permissions, payment method or third-party account. You must provide accurate information, keep credentials secure and are responsible for activity under your account. We may suspend or restrict access for payment failure, misuse, legal risk, security risk, breach of this EULA or platform requirements.

6. Device permissions and connectivity

The Licensed Application may request permissions such as internet access, notifications, storage, camera, microphone, location, contacts, calendar, biometrics, diagnostics or other permissions depending on features used. You can manage permissions through device settings, but disabling permissions may limit functionality. The Licensed Application may require internet connectivity, supported operating system versions and minimum device capabilities. We do not guarantee compatibility with all devices, networks or future platform changes.

7. Updates and compatibility

We may provide updates, patches, bug fixes, security updates, new versions or feature changes. Updates may be required for continued use. Older versions may become unsupported or stop working. We may modify, suspend or discontinue features where necessary for security, compliance, performance, third-party changes or business reasons.

8. User content

You retain ownership of content you submit, but grant us a worldwide, royalty-free licence to host, process, transmit, display, modify and use it as necessary to provide, secure, support, troubleshoot and improve the Licensed Application, comply with law and enforce this EULA. You warrant that content is lawful, accurate and does not infringe rights.

9. Third-party and open-source components

The Licensed Application may include or interact with third-party software, open-source components, APIs, SDKs, hosting services, analytics, payment providers, maps, cloud services and app-store services. Separate licences and terms may apply. We are not responsible for third-party outages, changes, terms, pricing, data practices, security incidents or content except as required by law.

10. Intellectual property

The Licensed Application, including software, code, design, user interface, architecture, documentation, logos, trade marks, content, databases, workflows, models, algorithms and all intellectual property rights, is owned by Progressive Robot or its licensors. You receive only the limited licence stated in this EULA.

11. Fees, taxes and refunds

Some features may be paid, subscription-based, usage-based or subject to app-store billing. Fees, renewals, cancellations, refunds and taxes are governed by the applicable order, subscription terms or app-store rules. Unless required by law or expressly stated, fees are non-refundable. VAT may apply. Our VAT number is 506152326.

12. Support and maintenance

Support, maintenance, updates, backups, customisation, training and service levels are provided only where stated in writing or required by law. App-store providers have no obligation to provide support or maintenance for the Licensed Application.

13. AI, automation and outputs

If the Licensed Application includes AI, automation, recommendations, diagnostics, generated content or analytics, outputs may be incomplete, inaccurate, non-unique, outdated or unsuitable. You are responsible for human review, testing and validation before relying on outputs. The Licensed Application must not be used as the sole basis for legal, financial, medical, employment, safety-critical or similarly significant decisions.

14. Security and misuse

You must not use the Licensed Application to compromise systems, evade controls, access data without authority, exploit vulnerabilities, overload infrastructure, interfere with service operation or violate law. We may collect logs and security telemetry to protect the Licensed Application and users, as described in our Privacy Policy.

15. Warranties and disclaimers

To the maximum extent permitted by law, the Licensed Application is provided “as is” and “as available” without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, compatibility, security, uninterrupted operation or error-free operation. Mandatory consumer rights remain unaffected.

16. Product claims

Progressive Robot, not Apple, Google or other app-store providers, is responsible for addressing claims relating to the Licensed Application to the extent required by law and this EULA, including product liability, consumer protection, regulatory and intellectual property claims.

17. Liability

Nothing excludes liability that cannot be excluded by law. Subject to that, we will not be liable for indirect, incidental, special, consequential or punitive damages, loss of profits, revenue, business, goodwill, data, opportunity, reputation or anticipated savings. Our total liability arising from the Licensed Application is limited to the amount you paid for it in the 12 months before the claim, or GBP 100 if you paid nothing, to the maximum extent permitted by law.

18. Indemnity

You agree to indemnify Progressive Robot, its officers, employees, contractors and licensors against claims, losses, damages, liabilities, costs and expenses arising from your breach, unlawful use, user content, data, infringement of third-party rights or misuse by anyone using your account or device, except to the extent caused by our breach or negligence.

19. Termination

This EULA continues until terminated. You may terminate it by deleting the Licensed Application and ceasing use. We may terminate or suspend your licence if you breach this EULA, fail to pay, create legal or security risk, misuse the Licensed Application or where required by law or platform rules. On termination, you must stop using and delete the Licensed Application.

20. Apple-specific terms

If downloaded from the Apple App Store, this EULA is between you and Progressive Robot, not Apple. Apple is a third-party beneficiary and may enforce this EULA. Your licence is limited to use on Apple-branded products you own or control and as permitted by Apple Media Services Terms and Conditions, including Family Sharing or volume purchasing where applicable.

21. Google Play-specific terms

If downloaded from Google Play, you must comply with Google Play terms and policies. Google is not responsible for support, maintenance, warranty or claims for the Licensed Application except as required by Google Play terms or applicable law.

22. Export controls and sanctions

You represent that you are not located in, organised under the laws of, or ordinarily resident in a country or territory subject to applicable sanctions that prohibit use, and that you are not on a prohibited-party list. You must comply with applicable export control and sanctions laws.

23. Changes to this EULA

We may update this EULA. The updated version applies when posted or made available through the Licensed Application, app store or website. Continued use after the effective date means you accept the updated EULA.

24. Governing law

This EULA is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek urgent protective relief in any appropriate jurisdiction.
